Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Node AI Agency website (nodeai.agency) and all related AI automation services, platforms, and software provided by Node AI Agency ("Company", "we", "us", or "our").
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
1. Services
Node AI Agency provides AI automation, SaaS development, WhatsApp AI solutions, CRM integration, social media AI, AI voice calling, and related digital services (collectively, "Services"). The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work (SOW) entered into between the parties.
2. Eligibility & Accounts
You must be at least 18 years of age and possess the legal authority to enter into binding agreements to use our Services. By engaging Node AI Agency, you represent that you meet these requirements. If you are accessing our Services on behalf of a business, you represent that you have authority to bind that entity.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information required for service delivery
- Grant necessary access to systems, accounts, or APIs required for integration
- Ensure all content, data, and assets you provide do not infringe on third-party rights
- Review and approve deliverables within agreed timeframes
- Make payments in accordance with the agreed schedule
- Comply with all applicable laws, including data protection regulations, in your use of our delivered solutions
4. Payment Terms
Payment terms are as specified in the relevant Service Agreement or invoice. Unless otherwise agreed:
- A deposit of 50% is required before project commencement
- The remaining balance is due upon project completion or as per milestone schedule
- Invoices are payable within 14 days of issuance
- Late payments may incur a late fee of 1.5% per month on overdue balances
- All prices are exclusive of applicable VAT or taxes unless stated otherwise
5. Intellectual Property
5.1 Client-Owned Content
You retain all ownership rights to content, data, and materials you provide to us ("Client Materials"). You grant Node AI Agency a limited licence to use Client Materials solely for the purpose of delivering the Services.
5.2 Deliverables
Upon receipt of full payment, Node AI Agency assigns to you all intellectual property rights in custom deliverables developed specifically for you under a signed Service Agreement. Unless otherwise agreed, this does not include Node AI Agency's pre-existing frameworks, libraries, tools, or proprietary AI workflows.
5.3 Agency IP
All intellectual property in Node AI Agency's proprietary systems, platforms, documentation, and methodologies remains exclusively owned by Node AI Agency.
6. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the engagement and to use it solely for the purpose of fulfilling the Services. This obligation survives termination of the engagement for a period of 3 years.
7. Data Protection
Node AI Agency will handle any personal data processed on your behalf in accordance with our Privacy Policy and applicable data protection laws. Where we act as a data processor, a Data Processing Agreement may be executed upon request.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Node AI Agency's total liability for any claim arising out of or related to the Services shall not exceed the fees paid by you in the 3 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities
- We do not warrant uninterrupted, error-free, or completely secure operation of any delivered system or third-party integration
9. Warranties & Disclaimers
Node AI Agency warrants that Services will be performed with reasonable skill and care. Except as expressly stated, Services are provided "as is" without warranties of merchantability or fitness for a particular purpose. Results from AI systems may vary and are not guaranteed.
10. Termination
Either party may terminate a Service Agreement with 30 days' written notice. Node AI Agency may terminate immediately if:
- You breach these Terms and fail to remedy the breach within 7 days of notice
- You fail to make payment when due
- Your use of the Services violates applicable law
Upon termination, you shall pay for all Services rendered up to the termination date. Provisions relating to IP, confidentiality, limitation of liability, and governing law survive termination.
11. Acceptable Use
You agree not to use our Services or delivered systems to:
- Violate any applicable law or regulation
- Transmit spam, malware, or fraudulent communications
- Infringe on the intellectual property rights of others
- Harass, abuse, or harm any individual or group
- Attempt to gain unauthorised access to any system or network
12. Third-Party Services
Our solutions may integrate with third-party platforms (e.g. WhatsApp, GoHighLevel, OpenAI, Google, Meta). Your use of such integrations is subject to the respective third-party terms of service. Node AI Agency is not responsible for the availability, accuracy, or actions of third-party services.
13. Force Majeure
Neither party shall be liable for delays or failure to perform resulting from circumstances beyond their reasonable control, including natural disasters, war, pandemics, government actions, or infrastructure outages.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of the Emirate of Dubai, UAE.
15. Changes to Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our Services after changes constitutes acceptance.
